MEMBERSHIP AND TRIAL AGREEMENT

This Membership Agreement (“Agreement”) is entered into by and between You (“Student”) and Color Theory Design Co, LLC (“Company”) (collectively referred to as the “Parties,” or individually as a “Party”). By completing the purchase of the $1 trial and subsequent subscription for the Company’s membership program (“Membership”), Student agrees to the terms outlined below.

1. Scope of Membership

As part of the Membership, the Company agrees to provide the following:

  • Access to Flowering Minds Membership Content hosted on Kajabi.
  • Access to the Private Flowering Minds Kajabi Community.

2. Membership Terms

Upon purchase of the $1 trial, the Student will gain instant access to the Membership content for 7 days. After the trial period, the Membership will automatically transition to a monthly subscription of $97/month, billed every 30 days, unless canceled.

  • License: Student is granted a single-use, non-exclusive, and non-transferable license to access and utilize Membership materials.
  • Unauthorized Sharing: Sharing login information or Membership materials with third parties is strictly prohibited. If unauthorized sharing is detected, the Company reserves the right to terminate the Membership immediately.

3. Membership Fee

  • The trial period is offered for $1, granting access for 7 days.
  • After the trial ends, Student agrees to be charged $97/month on a recurring basis unless canceled.
  • Payments are securely processed via Stripe, and the Student authorizes the Company to charge the payment method on file automatically.

4. Refund Policy

  • All sales are final.
  • No refunds are offered for the $1 trial or monthly subscription payments.
  • Student has full control to cancel the subscription at any time via their account settings or by emailing brian@colortheorydesign.co.
  • Canceling will terminate access at the end of the current billing cycle.

5. Cancellation Terms

  • Student’s Right to Cancel: Student may cancel their subscription anytime. Cancellation becomes effective at the end of the current billing period. No partial refunds are provided.
  • Company’s Right to Terminate: The Company may terminate this Agreement if Student breaches any Membership rules or terms.

6. Personal Information

To access Membership, the Student must register with the platform by providing a username, password, and personal information.

  • Student is responsible for maintaining the security of their account and notifying the Company of any updates to their identifying or payment information.

7. Student Contributions

Any comments, materials, or other submissions made by the Student within the Membership (“Student Contributions”) grant the Company a royalty-free, non-exclusive license to use, display, and create derivative works based on the Contributions.

8. Bonuses

Bonuses offered during enrollment are promotional and may vary throughout the year. The Company reserves the right to modify or discontinue bonus offers at any time.

9. Copyright and Intellectual Property

  • All Membership materials, content, and resources are owned by the Company and protected under U.S. Copyright Law.
  • Student agrees not to share, distribute, replicate, or use Membership materials outside the scope of this Agreement.

10. Communication Policy

The Company is available for Membership or billing-related inquiries Monday–Friday, 9 AM–5 PM CST (excluding holidays).

11. Confidentiality

Student agrees not to disclose or share any of the Company’s proprietary information, trade secrets, or Membership content with third parties. Breaching confidentiality may result in immediate termination.

12. Assumption of Risk

Student acknowledges that participation in the Membership is at their own risk. The Company is not liable for the security of online accounts or data breaches outside of its control.

13. No Guarantees

The Company makes no guarantees regarding specific results or outcomes from participation in the Membership. The Student is solely responsible for implementing the strategies provided.

14. Refunds and Maximum Liability

In any dispute, the maximum remedy for the Student shall not exceed the total amount paid under this Agreement.

15. Termination Due to Force Majeure

The Company shall not be liable for delays or inability to fulfill its obligations due to events beyond its control, including but not limited to natural disasters, government restrictions, or other unforeseen circumstances.

16. Entire Agreement

This Agreement constitutes the full understanding between the Parties, superseding all prior agreements. Any modifications must be in writing and signed by both Parties.

17. Governing Law

This Agreement is governed by the laws of the State of Texas. Any disputes will be resolved in the courts located in Hays County, Texas, unless resolved by arbitration as described below.

18. Arbitration

All disputes arising from this Agreement shall first be attempted to be resolved via arbitration in accordance with the American Arbitration Association.

19. Agreement Acceptance

By checking the box during checkout and completing the purchase, Student agrees to the terms and conditions outlined in this Agreement.
